    Welcome to Mirai Forge, LLC DBA ImageForge. The word mirai (未来) means "future," and our mission is to help you forge yours. We build resilient, multilingual, privacy-respecting software designed with a systems-oriented approach and a dedication to digital craftsmanship.

    By accessing our website at https://miraiforge.tech or using any of our software services, you are agreeing to these Terms of Service. Please read them carefully. If you do not agree with these terms, you may not use our services.

    2. About Our Service

    We provide durable, thoughtfully crafted software platforms designed to help you achieve your goals.

    Eligibility

    To use our services, you must be at least 18 years old, or the age of legal majority in your jurisdiction. By creating an account, you represent that you meet this requirement and have the legal capacity to enter into a binding contract. If you are using our service on behalf of a company or organization, you confirm that you have the authority to bind that entity to these terms.

    Service Availability

    We engineer our systems for resilience, but software is inherently complex. While we strive for maximum uptime and reliability, we do not guarantee that our services will be uninterrupted or error-free unless explicitly stated in a separate Service Level Agreement (SLA). We may occasionally need to perform maintenance that temporarily impacts availability, though we will do our best to notify you in advance.

    3. Your Account

    To access certain features of our platform, you will need to create an account.

    Registration and Security

    You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, current, and complete information during registration and to keep it updated.

    Account Responsibilities

    You are entirely responsible for all activities that occur under your account. You may not share your account credentials with others or allow third parties to access your account. If you suspect any unauthorized use of your account or any other breach of security, you must notify us immediately.

    Account Termination by You

    You may terminate your account at any time through your account settings. Upon termination, your recurring billing will stop, and you will retain access to the service until the end of your current billing cycle.

    4. Acceptable Use

    We designed our tools to help you build and create. To maintain a safe and reliable environment for all users, we require you to respect certain boundaries.

    You agree that you will not:

    • Use our services for any illegal, harmful, or fraudulent activities.

    • Interfere with or disrupt the integrity or performance of our platform.

    • Attempt to reverse engineer, decompile, or extract the source code of our software.

    • Use automated systems (like bots or scrapers) to extract data from our platform without our express permission.

    • Upload or transmit viruses, malware, or any other malicious code.

    • Infringe upon the intellectual property or privacy rights of others.


    If we determine that you have violated these acceptable use policies, we reserve the right to suspend or terminate your account immediately, with or without notice.

    5. Content & Intellectual Property

    We believe in a fair balance of ownership. You own your work, and we own ours.

    Your Content

    You retain all ownership rights to the data, text, images, and other content you upload, process, or create using our services. By using our platform, you grant us a limited, worldwide, non-exclusive license to host, store, and process your content solely for the purpose of providing and improving our services to you.

    Our Intellectual Property

    Mirai Forge, LLC DBA ImageForge retains all rights, title, and interest in and to our software, platform, designs, trademarks, and underlying technology. Using our services does not grant you any ownership rights to our intellectual property.

    Copyright Claims

    We respect the intellectual property rights of others. If you believe that content hosted on our platform infringes your copyright, please contact us at hello@miraiforge.tech with a detailed notice, and we will investigate and remove infringing content as required by law.

    6. Payments & Billing

    If you choose to use our paid features, the following terms apply.

    Pricing and Billing Cycles

    We believe in pricing transparency. All fees are clearly displayed before you purchase a subscription. Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). By providing a payment method, you authorize us or our essential payment processing partners to charge that method for your subscription fees.

    Refunds

    We want you to be satisfied with our software. If you are a new subscriber and are unhappy with the service, you may request a full refund within the first 14 days of your initial purchase by emailing hello@miraiforge.tech. After this 14-day window, purchases are generally non-refundable, and we do not provide pro-rated refunds for partially used billing periods.

    Price Changes

    We may occasionally update our pricing. If we increase the price of your active subscription, we will notify you at least 30 days in advance. The new price will take effect at the start of your next billing cycle, giving you time to cancel if you do not agree to the new rate.

    7. Privacy

    Because we build privacy-respecting software, protecting your data is a core part of our operations.

    Our data practices, including how we collect, use, and process your information, are detailed in our Privacy Policy. We comply with applicable United States privacy frameworks, including the California Consumer Privacy Act (CCPA/CPRA) and other US State Privacy Laws. Because we serve an international customer base, we also conduct cross-border data transfers securely and in compliance with applicable regulations.

    8. Disclaimers & Limitations

    We want to be honest about the limitations of software.

    "As Is" Service

    While we take pride in our craft, our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Mirai Forge, LLC DBA ImageForge expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    Limitation of Liability

    To the fullest extent permitted by law, Mirai Forge, LLC DBA ImageForge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or use. Our total maximum liability arising out of or relating to these terms or your use of the service will not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

    Note: Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. If you reside in such a jurisdiction, some of the above disclaimers may not apply to you.

    9. Dispute Resolution

    We prefer to solve problems directly and collaboratively.

    Informal Resolution

    If you have an issue with our service, you agree to first contact us at hello@miraiforge.tech and attempt to resolve the dispute informally for at least 30 days before initiating any formal legal action.

    Binding Arbitration

    If we cannot resolve the dispute informally, you and Mirai Forge, LLC DBA ImageForge agree to resolve any claims relating to these Terms or our services through final and binding arbitration, rather than in court. The arbitration will be administered by a recognized alternative dispute resolution provider under its commercial arbitration rules.

    Class Action Waiver

    You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

    Small Claims Exception

    Notwithstanding the above, either party may bring an individual action in small claims court if the claim qualifies.

    10. Changes & Termination

    Software evolves, and our terms must occasionally evolve with it.

    Modifying These Terms

    We may update these Terms of Service from time to time. If we make material changes, we will notify you via email or through a prominent notice on our platform at least 30 days before the changes take effect. Your continued use of the service after the effective date constitutes your acceptance of the updated terms.

    Our Right to Terminate

    We reserve the right to suspend or terminate your access to our services at our discretion, without notice, if you breach these terms, engage in illegal activities, or if we are required to do so by law.

    11. General Legal

    Governing Law

    These terms are governed by the laws of the United States, without regard to conflict of law principles.

    Severability

    If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the rest of the terms remain in full force and effect.

    Entire Agreement

    These terms, along with our Privacy Policy and any applicable Order Forms or Data Processing Agreements, constitute the entire agreement between you and Mirai Forge, LLC DBA ImageForge regarding your use of the service.

    Assignment

    You may not assign or transfer your rights under these terms without our prior written consent. We may freely assign our rights and obligations under these terms in connection with a merger, acquisition, or sale of assets.

    13. Confidentiality

    During our relationship, we may share non-public information with each other. Both parties agree to protect the other's confidential information with the same degree of care used to protect their own, but no less than a reasonable degree of care. This obligation does not apply to information that is already public, independently developed without use of the confidential information, rightfully obtained from a third party, or required to be disclosed by law.

    14. Indemnification

    We believe in mutual accountability.

    By You: You agree to indemnify and hold harmless Mirai Forge, LLC DBA ImageForge and its team from any third-party claims, damages, or expenses arising from the content you upload to our platform or your violation of these Terms of Service.

    By Us: We agree to indemnify and hold you harmless from any third-party claims alleging that our software platform itself infringes upon the intellectual property rights of that third party.

    15. Service Levels

    Unless you have signed a separate enterprise Order Form that explicitly includes a Service Level Agreement (SLA), our services are provided without financially backed uptime guarantees or service credits. We build resilient systems and strive for high availability, but we do not guarantee specific uptime percentages for standard subscriptions.

    16. Force Majeure

    Neither you nor Mirai Forge, LLC DBA ImageForge will be liable for any failure or delay in performance under these terms caused by events beyond our reasonable control. This includes natural disasters, acts of God, war, terrorism, labor disputes, governmental actions, or widespread internet or telecommunications failures.

    17. Beta and Preview Features

    We occasionally release features labeled as "Beta," "Preview," or "Experimental" so you can test new tools before they are fully forged. These features are provided strictly "as is" without any warranties or service commitments. We may change, suspend, or withdraw beta features at any time without notice.

    18. Order of Precedence

    If you are an enterprise customer, you may have multiple agreements with us. In the event of a conflict between documents, the order of precedence shall be:

    1. Your specific Order Form

    2. A mutually executed Data Processing Agreement (DPA)

    3. A mutually executed Master Services Agreement (MSA)

    4. These Terms of Service


    19. Arbitration Opt-Out

    You have the right to opt out of the binding arbitration and class action waiver provisions outlined in Section 9. To do so, you must send written notice of your decision to hello@miraiforge.tech within thirty (30) days of creating your account. If you opt out, all other parts of these terms will continue to apply to you.

    Savings Clause: If a court decides that the class action waiver is unenforceable as to a particular claim or request for relief, then the arbitration agreement shall be void solely as to that specific claim or request, which must be brought in court.

    20. Data Export and Deletion on Termination

    Your data belongs to you. If your account is terminated—whether by you or by us—we provide a thirty (30) day data export window. During this 30-day period, you may retrieve your data from our platform in standard, machine-readable formats (such as CSV or JSON).

    Once this 30-day window expires, your data will be permanently and securely deleted from our active production systems in accordance with our data retention policies, and it cannot be recovered.
